End User License Agreement

Terms of Service Privacy Policy Refund Policy Regional Privacy Notices Open Source License Notices End User License Agreement
Effective date 2026.10.03

Posted: September 30, 2026 · Effective: October 3, 2026

Article 1 (Purpose and Scope)

1. This Agreement sets out the rights and obligations between Alphasov ("we", "us") and the user regarding the installation and use of VideoAlpha Sovereign (the "Software"). This Agreement applies to the LITE, PRO, and MASTER editions.

2. Each of our documents applies to the matters it governs. This Agreement governs the license, installation, and use of the Software; the Terms of Service govern purchases, payment, automatic renewal, taxes, and use of our website (alphasov.com); the Refund Policy governs refunds and statutory rights of withdrawal; the Privacy Policy governs the processing of personal information; and the applicable open-source licenses govern the terms of use of third-party components.

3. In this Agreement, "user" means a person who installs, runs, or uses the Software.

Article 2 (Acceptance and Formation of the Agreement)

1. This Agreement is formed when the user indicates acceptance of this Agreement on the consent screen on which it is presented and selects the accept button. That screen is displayed during installation and, where acceptance was not obtained during installation, when the Software is run.

2. A user who does not accept this Agreement as first presented under Paragraph 1 may not install or use the Software and must delete it if it has already been installed. Refusal of an amended version of this Agreement is governed by Article 18.

3. The Software records, on the user's device, the time at which acceptance was given and the version of the Agreement accepted at that time. This record is not transmitted to us.

Article 3 (Grant of License)

1. We grant the user a non-exclusive right to install and use the Software within the scope set out in this Agreement. Except where required otherwise by applicable law, this right is not transferable. The Software is licensed, not sold, and this Agreement does not transfer ownership of the Software.

2. The Software is offered in the LITE (free), PRO (paid), and MASTER (paid) editions. The functional scope of each edition is as we describe it.

3. A lifetime license is a perpetual right to use the major version supplied at the time of purchase. Minor updates, bug fixes, engine compatibility maintenance, and functional improvements within that major version are provided at no charge. A new major version, or a version released as a separate product, is not included in this license unless we expressly state that it is included.

4. A monthly subscription permits use of the relevant edition for the billing period. Even if the subscription is cancelled, the edition may continue to be used until the end of the current billing period, and it may no longer be used once the billing period ends. The terms of automatic renewal are set out in the Terms of Service.

5. Upon completion of payment for a PRO or MASTER license, one license key is issued. The user may activate that key on as many PCs as the quantity selected at purchase, and the relevant edition may be used only on the activated PCs. The LITE edition may be used without a license key.

6. The user may deactivate an existing PC within the Software and then activate another PC. A PC transfer may be made up to three times in total per license, regardless of the quantity purchased. After a PC transfer, a further PC transfer may be made once 30 days have passed. The number of remaining transfers can be checked within the Software.

7. A user holding a PRO lifetime license may upgrade to a MASTER lifetime license upon payment of an additional amount. The user may choose how many PCs to upgrade, up to the number of PCs covered by the PRO license, and may upgrade only some of them. Upon upgrade, a new MASTER license key is issued, and the number of PCs on which the PRO license may be activated is reduced by the number of PCs on which MASTER has been activated. Where all covered PCs are upgraded, the existing PRO license is suspended when the final PC is converted and may no longer be used. A PRO monthly subscription is not eligible for upgrade; a MASTER license must be purchased separately.

8. This Agreement also applies to PRO or MASTER licenses (including trial licenses) that we provide free of charge for trial events, promotions, or similar purposes. In that case, the provisions on payment and refunds do not apply, and the conditions of provision, such as the period of use and the number of PCs on which the license may be activated, are as we describe them when the license is provided. The "purchaser" referred to in Article 7 means the person to whom the license is provided, and our liability in relation to a license provided free of charge is, as with the LITE edition under Article 13(2), as determined by applicable law.

Article 4 (Intellectual Property)

1. Intellectual property rights in the parts of the Software that we developed or in which we hold rights, and in our trademarks (including Alphasov and VideoAlpha Sovereign), logos, screen designs, and documentation, belong to us. This Agreement grants only the license set out in Article 3 and grants no other rights.

2. Rights in the third-party components included in the Software belong to their respective right holders, and the terms of their use are set out in Article 8.

3. Rights in the content that the user backs up or manages using the Software are not transferred to us under this Agreement.

Article 5 (Permitted Use and User Confirmations)

1. The Software is a tool that supports the user in backing up and managing content from channels the user owns or operates, or content for which the user has obtained permission from the right holder or otherwise holds a lawful right of access and reproduction.

2. The user confirms and undertakes the following.

  • That the user will use the Software only for content falling within Paragraph 1.
  • That the user will determine for themselves whether their use of the Software conflicts with the terms of service and policies of the platform on which the content is published, and that the user bears responsibility for compliance with them.

3. Using the Software to download, reproduce, or distribute content without authorization in a manner that infringes the copyright of others is prohibited. We do not encourage, induce, or support copyright infringement, unauthorized reproduction, unauthorized distribution, or violation of platform terms of service.

4. We claim no rights in the content that the user downloads using the Software.

5. We do not warrant that any particular platform permits the use of the Software. The relationship between a platform and the user under that platform's terms of service is separate from this Agreement.

6. Some functions of the Software use the YouTube API Services with the third-party API key (Sovereign Key™) registered by the user. By using the Software, the user agrees to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).

Article 6 (Prohibited Acts)

1. The user must not do any of the following.

  • 1) Decompile, disassemble, reverse engineer, or attempt to extract source code from the Software's proprietary code, license verification logic, security features, or non-public components without authorization.
  • 2) Share, resell, or publicly post a license key.
  • 3) Infringe copyright using the Software.
  • 4) Reproduce, modify, or redistribute the Software without authorization.
  • 5) Circumvent or disable the security features of the Software.

2. This Article does not restrict the following rights.

  • Rights of the user that applicable law guarantees on a mandatory basis and that may not be restricted by contract.
  • Rights that the license of a third-party component included in or distributed with the Software permits or requires.
  • Transfer of the license recognized by applicable law under the proviso to Article 3, Paragraph 1.

Article 7 (Restriction on Transfer)

A license may be used only by the purchaser, and transfer and resale are prohibited. Where applicable law recognizes transfer on a mandatory basis, however, that law applies.

Article 8 (Third-Party Components and Open-Source Notices)

1. The Software includes open-source components provided by third parties. For those components, the terms of the respective open-source licenses prevail over the other terms of this Agreement.

2. The copyright notices, full license texts, version information, and, where applicable, the means of obtaining the corresponding source code for each component can be found in THIRD_PARTY_NOTICES.txt or in the LICENSES directory within the installation folder of the Software.

3. The user must not remove or alter the copyright notices, trademark notices, or attribution notices contained in the Software or its components.

4. Open-source components are provided as set out in their respective open-source licenses. This Paragraph does not affect any liability of ours that may not be excluded or limited under applicable law.

Article 9 (Updates and Technical Support)

1. We may provide updates in order to maintain compatibility and to improve the Software. The Software notifies the user when a new version is available and downloads and installs the update when the user chooses to install it.

2. The scope of updates included in a lifetime license and in a monthly subscription is set out in Article 3.

3. We provide technical support relating to use of the product and to licensing. The scope of support and the means of contact are set out on our support page.

4. This Article does not exclude or limit any obligation to provide updates that applicable law imposes on us.

Article 10 (Changes to External Platforms)

The Software accesses data on external platforms such as YouTube. Technical changes, policy changes, or other external factors affecting those platforms may temporarily or permanently limit some functions of the Software. We will use our best efforts to maintain compatibility, and, to the extent permitted by applicable law, we are not liable for limitations of function arising from changes to external platforms that occur without fault on our part.

Article 11 (Processing of Personal Information)

The items, purposes, retention periods, outsourcing of processing, and cross-border transfer of personal information that we process in connection with the Software are set out in the Privacy Policy. Acceptance of this Agreement does not substitute for consent to the collection and use of personal information; where consent is required in relation to personal information, it is obtained separately.

Article 12 (Disclaimer of Warranties)

1. To the fullest extent permitted by applicable law, the Software is provided "AS IS". We do not warrant the accuracy or completeness of the Software, its fitness for a particular purpose, or its uninterrupted operation.

2. Nothing in this Article excludes or limits any right of a consumer, or any liability of ours, that may not be excluded or limited under applicable law.

Article 13 (Limitation of Liability)

1. To the extent permitted by applicable law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, arising in connection with use of the Software.

2. In relation to a paid license, our aggregate liability for damages is limited to the amount that the user paid for that license. Our liability in relation to the LITE edition, which is provided free of charge, is as determined by applicable law.

3. Paragraphs 1 and 2 do not apply to damages caused by our willful misconduct or gross negligence, or that of persons performing our obligations, or to any liability that may not be excluded or limited under applicable law.

Article 14 (Responsibilities of the User)

1. Where a third party brings a claim, action, or demand for damages against us as a result of an unlawful act committed through the user's willful misconduct or negligence, or as a result of the user's breach of this Agreement, the user shall bear the reasonable costs we incur in responding to that claim. Any portion for which we are also responsible is excluded.

2. We are not liable for quota exhaustion, service restrictions, or account-related disadvantages arising from the use of a third-party API key (Sovereign Key™) that the user has obtained directly through the user's own Google account and registered in the Software. This does not apply where the cause is attributable to us.

3. Where the user signs in to the user's own account on an external platform (for example, YouTube) through the SovereignSignet™ authentication function of the Software and uses the Software, we are not liable for service restrictions or account-related disadvantages that the platform applies to that account. This does not apply where the cause is attributable to us.

Article 15 (Termination and Revocation of License)

1. Where we reasonably determine that the user has breached this Agreement, and in particular the prohibited acts set out in Article 6, we may notify the user of the breach and request that it be remedied. If the user does not remedy the breach within 15 days of receiving the notice, we may suspend the right to use the Software or revoke the license key.

2. Where the breach is serious or immediate action is required, for example in the case of a security threat, large-scale unlawful use, or the public posting or resale of a license key, we may revoke the license immediately without prior notice.

3. Where a license has been suspended or revoked, the user must cease using the Software. Refunds are governed by the Refund Policy and applicable law.

4. The user may cease using and delete the Software at any time. Deletion alone does not terminate a valid license, and the Software may be installed and used again.

Article 16 (Age of Use)

The Software is intended for persons who have reached the age of majority under the laws of the country or region in which the user resides. A person who has not reached that age may not install, activate, or use the Software. Cancellation of a contract by a minor is governed by the Terms of Service and applicable law.

Article 17 (Export Control and Sanctions Compliance)

The user must not use, export, re-export, or transfer the Software in violation of applicable export control or economic sanctions laws.

Article 18 (Amendment of this Agreement)

1. We may amend this Agreement within the limits of applicable law, including the Act on the Regulation of Terms and Conditions and the Act on Consumer Protection in Electronic Commerce.

2. Where we amend this Agreement, we will announce the effective date, the content of the amendment, and the reason for it on our website from at least 7 days before the effective date. Where the amendment is unfavorable to users, we will announce it from at least 30 days before the effective date, present a comparison of the content before and after the amendment, and, where possible, notify users individually.

3. The announcement under Paragraph 2 will state clearly and separately that a user who does not express refusal by the day before the effective date and continues to use the Software on or after the effective date is deemed to have accepted the amended Agreement. Without that statement, the amended Agreement does not apply to that user. This does not apply where the user has expressly accepted the amended Agreement.

4. Refusal may be expressed to support@alphasov.com. The Agreement as it stood before the amendment continues to apply to a user who has refused.

5. Where an amendment has a material effect on users, we may display the amended Agreement within the Software and obtain acceptance again.

6. The number of PCs on which an already acquired license may be activated, and the period for which that license remains valid, are not reduced by an amendment of this Agreement.

Article 19 (Governing Law and Jurisdiction)

1. This Agreement is construed in accordance with the laws of the Republic of Korea.

2. In the event of a dispute in connection with this Agreement, we and the user will first seek to resolve it through consultation. Where consultation does not resolve the dispute, the competent court is the court determined in accordance with the Civil Procedure Act.

3. Nothing in this Agreement excludes, limits, or modifies the rights of a consumer under applicable law, including the Framework Act on Consumers and the Act on Consumer Protection in Electronic Commerce. Where mandatory consumer protection law of the country or region in which the user resides provides otherwise, that law prevails.

Article 20 (Language)

This Agreement may be provided in several languages, and the Korean version is the original. In the event of any inconsistency between a translation and the Korean original, the Korean original prevails. Where mandatory consumer protection law of the country or region in which the user resides provides otherwise, however, that law may prevail.

Article 21 (Severability)

If any provision of this Agreement is held invalid or unenforceable, the validity of the remaining provisions is not affected.
