Terms of Service

Terms of Service Privacy Policy Refund Policy Regional Privacy Notices Open Source License Notices End User License Agreement
Effective date 2026.10.03
  • 2026.10.03 (current)
Posted: September 30, 2026 · Effective: October 3, 2026
These Terms are drafted with reference to the Act on Consumer Protection in Electronic Commerce, etc. and the Korea Fair Trade Commission's Standard Terms for Electronic Commerce (No. 10023).

1. Definitions and Scope

These Terms are intended to set out the rights, obligations, and responsibilities concerning the use of the website (alphasov.com, the "Site") operated by Alphasov ("we", "us", or "our") and the purchase of and payment for VideoAlpha Sovereign (the "Software"). The installation and use of the Software are governed by the End User License Agreement.

In these Terms, "User" means any person who accesses the Site to use the services we provide or who purchases the Software.

In relation to the Software and the Site, these Terms, the End User License Agreement, the Refund Policy, and the Privacy Policy each apply to the matters they respectively govern. Where the documents differ, the document that governs the matter prevails.

2. Acceptance and Formation of Agreement

These Terms apply when you use the Site or proceed with the purchase of the Software. The installation and use of the Software are governed by a separate End User License Agreement, which is formed when you accept it on the consent screen displayed during installation or at first run. If you do not agree to these Terms, please do not use the Site or proceed with the purchase of the Software.

3. Intellectual Property and Permitted Use

The Software is a Windows desktop application (a general-purpose tool) designed to help users back up and manage content from channels they own/operate or content authorized by the rights holder. Copyright and other intellectual property rights in the content, screen layouts, and documentation of the Site that we created or in which we hold rights belong to us. You may not reproduce, transmit, publish, distribute, broadcast, or otherwise use them for commercial purposes, or allow a third party to do so, without our prior consent. Intellectual property rights in the Software are set out in Article 4 of the End User License Agreement, and the scope of permitted use and the matters the user confirms are set out in Article 5 of that agreement.

4. License

The Software is offered in LITE (free), PRO (paid), and MASTER (paid) editions. The scope of the license granted, the conditions of lifetime licenses and monthly subscriptions, the number of PCs on which a license may be activated, PC transfers, and edition upgrades are set out in Article 3 of the End User License Agreement, and the restrictions on transfer and resale of a license are set out in Article 7 of that agreement. Auto-renewal of monthly subscriptions is governed by Article 14 of these Terms.

5. Payment

Purchases and payment transactions for the Software are processed by FastSpring (including Bright Market, LLC dba FastSpring and relevant FastSpring entities), Alphasov's authorized reseller and Merchant of Record (MoR). When you make a purchase, your contracting party for the payment transaction is FastSpring. FastSpring is responsible for payment processing and billing, the calculation, collection, and remittance of applicable taxes such as VAT and sales tax, refund execution, chargeback and payment dispute handling, and payment-related purchaser support. The payment transaction is governed by FastSpring’s terms of sale presented at checkout, and your billing statement may show FS *Alphasov or a similar FastSpring billing descriptor. Alphasov, as the software provider, is responsible for license delivery, product use, software updates, technical support, and product-related customer support; product use and licensing are governed by the End User License Agreement. For product, license, technical support, and refund-review inquiries, contact support@alphasov.com.

6. User Indemnification

Where a third party brings a claim, action, or demand for damages against us because the User, in connection with use of the Site or with a purchase or payment, commits an unlawful act through willful misconduct or negligence or breaches these Terms, the User shall bear the reasonable costs we incur in responding to that claim. Any portion for which we are also responsible is excluded.

7. External Platform Changes

The circumstances in which features of the Software may be restricted by technical or policy changes on external platforms, and our responsibility in that regard, are set out in Article 10 of the End User License Agreement.

8. Disclaimer of Warranties and Limitation of Liability

The disclaimer of warranties for the Software and the limitation of our liability are set out in Articles 12 and 13 of the End User License Agreement.

Nothing in these Terms shall exclude or limit consumer rights or our liability that cannot be excluded or limited under applicable mandatory law.

9. Age of Use and Minors' Contracts

Only users who are of the age of majority under the laws of their country or region of residence (for example, age 19 or older under the Civil Act for Korean residents) may purchase the Software. Installation, activation, and use are governed by Article 16 of the End User License Agreement.

If a minor who has not reached the age of majority under the laws of their country or region of residence purchases the Software without the consent of their legal representative, the minor or the legal representative may cancel the contract under applicable laws (in Korea, the Civil Act and the Act on Consumer Protection in Electronic Commerce, etc.).

10. Prohibited Acts

The prohibited acts and their exceptions are set out in Article 6 of the End User License Agreement.

11. License Termination and Revocation

Suspension of the right to use and revocation of a license for breach of the license agreement are set out in Article 15 of the End User License Agreement, and measures taken in connection with refunds and payment disputes are set out in the Refund Policy and applicable law.

12. Amendments and Governing Law

We may amend these Terms within the limits permitted by applicable laws, including the Act on the Regulation of Terms and Conditions and the Act on Consumer Protection in Electronic Commerce, etc.

When amending these Terms, we will post the effective date, the content of the amendment, and the reasons on the Site from 7 days before the effective date through the day before the effective date. Where the amendment is unfavorable to the User, we will post it from 30 days before the effective date, present a comparison of the content before and after the amendment, and, where possible, give individual notice through the registered email or similar means.

The notice under Paragraph 2 will state clearly and separately that a User who does not express refusal by the day before the effective date and continues to use the Site or to purchase or maintain a subscription for the Software on or after the effective date is deemed to have accepted the amended Terms. A User who does not accept the amended Terms may discontinue use of the Site and any purchase or subscription for the Software, and refunds are governed by the Refund Policy and applicable law.

If a dispute arises between us and the User in connection with these Terms, both parties shall first attempt to resolve it amicably through discussion. If discussion does not resolve the matter, the User may, subject to the requirements and procedures prescribed by the Framework Act on Consumers and other applicable laws, seek consumer redress from the Korea Consumer Agency or use the dispute mediation procedure of the Consumer Dispute Settlement Commission.

These Terms are governed by the laws of the Republic of Korea, except where mandatory consumer protection laws in your country or region provide otherwise. The competent court for any litigation related to these Terms shall be the court determined under the Civil Procedure Act.

Nothing in these Terms excludes, restricts, or modifies the rights of consumers under applicable laws such as the Framework Act on Consumers and the Act on Consumer Protection in Electronic Commerce, etc.

13. Multilingual Policy

These Terms may be provided in multiple languages. The Korean version is the original and shall prevail in case of any inconsistency between the Korean version and any translated version, except where mandatory consumer protection laws in your country or region require otherwise.

14. Auto-Renewal Subscription

This Article applies to auto-renewal subscriptions such as the Monthly Subscription under Article 4 that are provided on a recurring basis and renew for the same term unless cancelled by the user. Lifetime licenses are not subject to this Article.

  • Auto-Renewal Disclosure: The auto-renewal terms are disclosed at checkout through FastSpring's checkout process. Collection and retention of any buyer consent required by applicable law in connection with auto-renewal are handled by FastSpring, our Merchant of Record.
  • Disclosure of Renewal Terms: The billing cycle, renewal amount, and payment method for auto-renewal are clearly disclosed at checkout.
  • How to Cancel: You may cancel auto-renewal at any time before the next renewal charge by contacting support@alphasov.com. You may also cancel through the FastSpring account management page (linked in your order receipt).
  • Effect of Cancellation: If you cancel before a renewal charge is processed, no further charges will be made. Cancellation stops future renewal charges but does not automatically refund the current billing period. Refunds are governed by the Refund Policy.
  • Price Changes: If the recurring charge is increased, or if a free or discounted arrangement converts to a higher paid amount, prior disclosure and consent are handled in the manner, form, and timing required by applicable law. Where applicable law requires prior consent, the changed amount will not be charged without that consent. You may cancel the subscription before the change takes effect.
  • User Responsibility: You are responsible for maintaining a valid payment method and email address. Where notice delivery, cancellation processing, or payment fails or is delayed due to causes attributable to you, such as errors in the information you provided, email reception settings, or expiration or rejection of your payment method, we are not responsible to the extent permitted by applicable law.

15. Export Requirements

Export control and sanctions compliance in relation to the use, export, re-export, and transfer of the Software are set out in Article 17 of the End User License Agreement.

16. Taxes

Prices may exclude applicable taxes unless stated otherwise at checkout. Taxes, if applicable, may be calculated and charged at checkout based on the buyer's billing location and applicable law. Where taxes are not collected at checkout, the buyer may be responsible for applicable taxes under local law.

17. International Sale of Goods

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
